- Strategy’s board approved a proposal on September 24 to make every calendar day a dividend record date for its four U.S.-listed preferred securities: STRC, STRF, STRK and STRD.
- The company filed details with the SEC on September 25; shareholder approval is required, with a special meeting expected on October 28.
- Dividend rates and total regular dividend obligations would not change — only the payment cadence.
- STRC would move first, with the initial daily record date expected November 1; STRF, STRK and STRD would transition from January 2027.
- Bitcoin was trading near $84,095.89, up about 0.07% on the day.
Strategy is asking shareholders to approve an unusual change to the preferred stocks that sit alongside its enormous Bitcoin treasury: dividends calculated around daily record dates rather than monthly, semi-monthly or quarterly schedules. The company’s board approved the proposal on September 24, with Strategy filing details with the SEC the following day. Shareholder approval is still required before any of the amended terms take effect.
What The Proposal Actually Changes
The proposal covers four U.S.-listed preferred securities: STRC, STRF, STRK and STRD. If approved, every calendar day would become a dividend record date. Any dividend declared for that date would then be paid on the following business day. That includes weekends and holidays as record dates, even though the cash payment itself would wait for the next business day. The important detail is what does not change. Strategy says the amendments would not increase or decrease the regular dividend rates on the four preferred stocks and would not increase the company’s overall regular dividend obligations. This is a change in cadence, not a promise of extra income. Investors holding these securities should not read the proposal as a distribution hike; the economics of each series remain tied to its existing terms.
A Staggered Rollout Across Four Securities
STRC would move first, with the initial daily record date expected on November 1 if shareholders approve the change. STRF, STRK and STRD would transition from January 2027. That staggered timeline gives the company room to test the mechanics on one series before applying them across the rest of the preferred stack. The change is not automatic. The proposal will go to a special shareholder meeting expected on October 28, and the amended terms would only become effective after shareholder approval and the required corporate filings. Until those conditions are met, the existing monthly, semi-monthly and quarterly schedules remain in force.
Why Cadence Matters For These Securities
Strategy has increasingly described its preferred-stock products as “digital credit,” building different securities around fixed or variable distributions while using the proceeds to support its broader capital structure and Bitcoin strategy. Dividend frequency is part of that experiment. STRC only moved from monthly to semi-monthly distributions earlier this year. Now Strategy wants to go much further. More frequent distributions could make accrued income easier to price into the securities and reduce some of the friction around buying or selling shares between payment dates. Strategy says the goal is to support liquidity, demand and price stability. Whether daily accrual actually delivers those benefits is an open question, but the design intent is clear: narrow the gap between when income builds up and when holders can capture it in a trade.
The Bigger Picture
Strategy is best known for accumulating Bitcoin, and its capital structure is becoming nearly as experimental as the asset sitting inside it. The company’s preferred securities have become a key part of how it funds and services that strategy, and tweaking how those instruments pay out is a signal about how management wants the market to perceive them. If shareholders approve daily dividends, the company’s preferred shares will begin to look even less like conventional quarterly-income securities and more like continuously accruing financial instruments. For now, the vote on October 28 is the gate. Approval would put STRC on a daily clock starting November 1, with the remaining three series following at the start of 2027.
